Terms & Conditions

Welcome to Authentic Community Caregiver (“we,” “our,” “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and any related content, features, or tools (collectively, the “Services”). By using the website or engaging our care services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. 

1. Definitions

  •  “Client” or “you” means the individual, legal representative, or organization receiving, requesting, or using our Services.
     
  • “Services” means the home care, community caregiving, companionship, assistance, or other care services we provide, including any communication, assessment, or software tools associated with them.
     
  • “Care Agreement” means a separate written (or electronic) contract between you and us specifying scope, schedule, fees, duties, responsibilities, and other terms.
     
  • “Confidential Information” means any nonpublic or personal information (e.g. health data, financial data, personal records) exchanged in the course of services.

2. Acceptance & Use of the Website and Services

2.1 Eligibility. You represent and warrant that you are at least 18 years old and legally competent to enter into binding agreements.


2.2 Lawful Use. You agree to use the website and Services lawfully and in compliance with all applicable laws, rules, and regulations.


2.3 Prohibited Conduct. You shall not:

  • Use the site or Services to transmit harmful code (viruses, malware, etc.);
     
  • Attempt unauthorized access to systems or accounts;
     
  • Interfere with or disrupt the website’s operation or security;
     
  • Use misleading or fraudulent methods to gain access to the site or Services;
     
  • Post or transmit unlawful, harmful, defamatory, or otherwise objectionable content.
     

2.4 Account Credentials. If you create an account or credentials, you are responsible for maintaining their confidentiality and for all activities under your account.

3. Service Engagement & Requests

3.1 Information Accuracy. You agree to provide full, current, and accurate information about your care needs, health status, environment, and any other relevant details.


3.2 Service Approval. We reserve the right to accept or decline service requests based on our capacity, safety, available resources, or your suitability.


3.3 Care Agreement & Authorization. Before we deliver care, you (or your authorized representative) and we will enter into a Care Agreement that includes:

  • Description of services (tasks, duration, schedule)
     
  • Fees, rates, and billing schedule
     
  • Cancellation and termination terms
     
  • Duties and obligations of both parties
     
  • Insurance, liability, and indemnity provisions
     
  • Any special conditions, modifications, or accommodations
     

3.4 Changes & Amendments. Any requested changes to services (e.g. additional tasks, schedule modifications) must be agreed upon in writing (or electronically) and may incur additional fees.

4. Fees, Billing & Payment

4.1 Fee Structure. Fees will be as set in your Care Agreement or as otherwise communicated in writing. Estimates or quotes are nonbinding until confirmed.


4.2 Payment Terms. Unless otherwise agreed, payment is due on the schedule specified (e.g. weekly, biweekly, monthly). You authorize us to charge your designated payment method.


4.3 Late Payments. If payment is overdue:

  • We may impose late fees or interest (within legal limits);
     
  • We may suspend or refuse further services until payment is made;
     
  • We may pursue collection or legal remedies, with you responsible for costs.
     

4.4 Refunds. Refunds (if any) shall be handled in accordance with the Care Agreement or our refund policy.

5. Termination & Cancellation

5.1 Term. The term of the Care Agreement is as specified therein, and these Terms remain effective while you use our Services or website.


5.2 Your Termination. You may terminate services with [written notice, e.g. 7 days], subject to any cancellation fees or obligations in the Care Agreement.


5.3 Our Termination. We may suspend or end Services (or website access) if:

  • You violate these Terms or the Care Agreement;
     
  • Nonpayment occurs;
     
  • We determine continuation poses safety or health risks;
     
  • We are unable to fulfill the services for any lawful reason.
     

5.4 Accrued Charges. Upon termination, you remain liable for all fees and charges incurred up to the effective termination date.

6. Disclaimers, Limitation of Liability, Indemnification

6.1 No Warranty. The website and Services are provided “as is,” without warranties of any kind, whether express, implied, or statutory (e.g. warranties of merchantability, fitness for a particular purpose).


6.2 Limitation of Liability. Except where prohibited by law, in no event will we (or our affiliates, agents, employees) be liable for:

  • Indirect, incidental, special, consequential, or punitive damages;
     
  • Loss of data, income, business opportunities, or goodwill;
     
  • Damages arising from delays, interruptions, or errors in Services.
     

Our total liability for claims arising from or related to these Terms or Services will not exceed the total fees paid by you for the particular service or period in question.


6.3 Indemnification. You agree to indemnify, defend, and hold harmless us (and our employees, officers, agents) from any third-party claims, liabilities, damages, losses, or costs (including legal fees) arising from:

  • Your breach of these Terms or the Care Agreement;
     
  • Your misuse of the Services or website;
     
  • Violation of any law or rights of third parties.

7. Intellectual Property & Content

7.1 Ownership. All content, software, logos, graphics, text, and interfaces on the website are owned or licensed by us or our third-party providers. You may not copy, modify, distribute, or publicly display them without our permission.


7.2 User Content. By submitting content (feedback, comments, reviews) you grant us a nonexclusive, transferable, royalty-free, perpetual license to use and adapt it.

8. Privacy & Confidentiality

8.1 Privacy Policy. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is hereby incorporated by reference into these Terms.


8.2 Confidential Information. Both parties agree to safeguard and not disclose confidential information, except as required by law or necessary to perform the Services.

9. Dispute Resolution & Governing Law

9.1 Governing Law. These Terms and any Care Agreement are governed by the laws of the state in which the primary services are delivered, without regard to conflict of law principles.


9.2 Dispute Resolution. Before initiating formal proceedings, the parties shall attempt to resolve disputes amicably.


Optionally, you may include mandatory mediation or binding arbitration clauses.


9.3 Jurisdiction & Venue. If court action is necessary, you agree to exclusive jurisdiction and venue in the courts located in Multnomah County, Oregon.


9.4 Waiver of Jury Trial. To the extent allowed by law, parties waive the right to a jury trial for disputes under these Terms or Care Agreements.

10. Modifications to These Terms

 We may revise these Terms at any time by posting the updated version on the website. The “Last Updated” date will change accordingly. Your continued use of the Services after changes indicates acceptance. For material changes, we may send additional notices (e.g. via email). 

11. Severability & Waiver

11.1 Severability. If any provision is invalid or unenforceable, the remaining provisions remain in full force and effect.


11.2 Waiver. Our delay or failure to enforce any right under these Terms does not represent a waiver of that right.

12. Notices & Contact Information

12.1 Notices. Notices under these Terms must be in writing (e.g. email or postal mail) and sent to the addresses provided.
